Ownership and licensing
Own it, license it, or a custom build: three ways to buy
AI products, AI stacks and app builds come three ways. Own it: a one-time price, and the full code and every account are yours. License it yearly: a lower first-year price, and Upmark Labs hosts, runs and updates it for you. Custom build: when you need more than a Scope Card, we reply with a fixed written quote. Own it and license it follow the same Scope Card, and all three run on your own keys for every third-party tool. Websites, online stores and AI-assisted services such as SEO, content, social media and ads have one price and no license.
What each option includes
| Own it | License it yearly | Custom build | |
|---|---|---|---|
| Price | One-time price, paid at checkout | First year paid at checkout, then a lower renewal price each year | A fixed written quote, agreed before any work starts |
| What you get | The full code, setup and documentation in accounts in your name | The right to use the product for your business, set up and run by us | A build shaped to your requirements, beyond the standard Scope Card |
| Code and rights | Yours once the order is paid in full | Stay with Upmark Labs; you cannot copy or resell the product | Your choice: own the code, or license it yearly |
| Hosting and running | You run it, in your own accounts | We host, run and monitor it | You run it, or we host it under a license |
| Updates and fixes | 30 days of support, then optional maintenance | Included for as long as the license runs | As agreed in the quote: maintenance or included in the license |
| Changes | Maintenance change hours or a Change Quote | Up to 2 change hours a month, then a Change Quote | A Change Quote, in writing |
| Your data and settings | Yours, in your own systems | Yours, exportable at any time | Yours, in your systems or exportable from ours |
| AI and tool usage | Your own accounts and keys, billed to you by each provider | Your own accounts and keys, billed to you by each provider | Your own accounts and keys, billed to you by each provider |
| Ending | Nothing ends; it keeps running in your accounts | Stop at the end of any paid year; we send your data export | As in the option you chose: owned keeps running, licensed stops at year end |
| Best for | Teams with developers or IT who want full control | Teams that want it working without running software | Needs outside the listed limits: more systems, channels, languages or your own process |
What counts on a Scope Card
Every product lists its limits in the same units, so you know exactly what the price covers before you buy. These definitions apply to both options.
- Channel
- One place people reach the system: a website chat, one phone number, one WhatsApp number, one inbox or one Slack or Teams workspace.
- Integration
- One link to one tool, in the direction the Scope Card states, for the records and fields in the field map you approve.
- Knowledge source
- One document, set of pages or folder you name at intake, up to the count on the Scope Card.
- Workflow
- One trigger and the steps that follow it, up to the step count on the Scope Card.
- Page
- One website address with its own layout or content. A template reused for posts or listings counts once.
- Screen
- One view a person works in. Pop-ups and confirmations belong to the screen they open from.
- User role
- One set of permissions. Any number of people can share a role unless the Scope Card sets a limit.
- Language
- One language for everything the system shows or writes.
- Revision round
- One written list of changes to delivered work, sent together within the review window.
- Change hour
- One hour of work on changes under maintenance or a license, logged in your portal.
- Test scenario
- One written situation with its expected result. The product launches when the agreed scenarios pass.
Bug or change?
A bug is anything that does not do what the Scope Card or a passed test scenario says. We fix bugs at no cost during the support period, and for as long as a license runs.
A change is new or different behavior: another integration, a new screen, different rules. Changes use change hours or a written Change Quote, priced before any work starts.
When you need more than the limits
- If an add-on covers it, such as an extra language, page or integration, you add it at a fixed price.
- Anything else gets a written Change Quote, and work starts only once you accept it.
- Where owning the code would cost more than $14,900, the product shows a quote request for owning it, and the yearly license stays available online.
Bring your own key
Every product runs on your own accounts and keys: AI models, phone numbers, WhatsApp, email, CRM and every other third-party tool. Each provider bills you directly, so you see the real usage cost, keep the relationship, and can switch providers. Upmark Labs does not pay, resell or mark up third-party usage, and is not responsible for it. This is the same whether you own the product or license it.
Questions buyers ask
Can I move from a license to owning the code later?
Yes. Ask from your portal and we quote the price to own the product you license, as a separate order. When you own it, we hand over the full code and setup into your accounts, and the license ends at the end of its paid year.
What happens to my data if I stop a license?
It stays yours. Before the paid year ends we send you an export of your data, knowledge files and settings in standard formats. We delete our copy 30 days after the license ends, unless the law requires us to keep it.
Who pays for AI and phone usage?
You do, directly. Every product runs on your own accounts and keys, and each provider bills you for what you use. Our price covers the build, and for a license the hosting, upkeep and change hours. It never includes AI model, call, WhatsApp or tool usage.
Can I license a website, SEO or content service?
No. Websites, online stores and AI-assisted services such as SEO, content, social media, ads and email have one price and are always yours. Licensing covers AI products, AI stacks and development work, the Web App MVP Build and the Client Portal Build, where hosting and upkeep matter most.
Why does owning the code cost more than a license?
Because you get everything outright: the full code, setup and documentation in your own accounts, with the rights to it once paid. A license costs less up front because we keep the code, host it and keep it updated for you each year.
